Terms of Service

These terms apply to everyone who uses Shopfin: businesses, their staff, partners and shoppers. Please read them; using Shopfin means you agree to them.

1. Who we are and what these terms cover

Shopfin is operated by Paydan Inc ("Shopfin", "we", "us"), [company address]. These Terms of Service ("Terms") and our Privacy Policy govern your use of the Shopfin websites, apps, the Chloe assistant and every related service (together, the "Platform").

By creating an account, ticking the box at sign-up, or otherwise accessing or using the Platform in any way, you agree to these Terms. If you do not agree, do not use the Platform. If you use the Platform for a business, you agree on behalf of that business and confirm you are authorized to do so.

2. Shopfin is a platform only

Shopfin provides software. We are not a party to any sale, order, booking, work order, invoice, payment or other transaction between a business and its customers, and we do not buy, sell, ship, perform or guarantee any product or service listed on the Platform.

  • Payments are processed by the business's own payment processor and merchant account, arranged with its payment partner (ISO). Shopfin does not hold, receive, transfer or control the funds of any transaction and is not a bank, money transmitter or payment processor. Chargebacks, disputes, refunds, fees and payouts are between the business, its customer, and the business's processor.
  • Shipping, delivery and pickup are arranged and carried out by each business and its carriers. Shopfin is not responsible for lost, late, damaged or undelivered orders.
  • Customer service, returns, warranties and refunds are the responsibility of each business. Shoppers should contact the business directly.
  • Services performed by businesses (for example plumbing, HVAC, electrical, cleaning or in-home massage) are performed by those businesses, which are independent and are not Shopfin's employees, agents or partners. Shopfin does not check licenses, insurance, background or quality unless we expressly say so.
  • Listings, prices, photos and descriptions are provided by businesses, who are responsible for their accuracy and lawfulness.

3. Accounts

  • You must be at least 18 years old and give accurate information.
  • You are responsible for everything done with your account and for keeping your password, devices and sign-in codes secure. Tell us right away at [email protected] if you suspect misuse.
  • Businesses are responsible for the people they add to their account and for what they allow them to do.
  • We may require identity checks, approval of directory listings, and approval by a payment partner before card payments are turned on.

4. Businesses

  • You are solely responsible for your products, services, prices, taxes, permits, licenses, insurance, policies, communications and compliance with all laws that apply to your business, including consumer protection, privacy, advertising, sales tax and payment card rules.
  • You are responsible for the personal information of your customers that you enter or collect through the Platform, and for having a lawful basis and any consent needed to use it, including consent before Shopfin sends them text messages on your behalf.
  • Your agreement with your payment processor and payment partner is separate from these Terms. Shopfin may share account and transaction information with them to provide the service.
  • Fees for Shopfin features (for example AI plans) are shown before you buy. Except where required by law, fees are non-refundable.

5. Shoppers

  • Your purchases and bookings are agreements between you and the business. Questions about an order, delivery, refund or service go to the business.
  • Reviews must be honest and about a real experience. No offensive language, personal information about others, or reviews written for pay or by the business itself.

6. Chloe, the AI assistant

  • Chloe uses artificial intelligence and can make mistakes. Check important information before you rely on it. Chloe's answers are not legal, tax, financial or professional advice.
  • Changes you ask Chloe to make to your account are made as if you made them yourself.
  • Conversations with Chloe are kept with your account for one year for safety, quality and audit, as described in the Privacy Policy. Attempts to misuse Chloe are recorded and may lead to suspension.

7. Text messages

If you agree to receive texts (for example about a booking, or new bookings for your business), Shopfin will send transactional messages about that activity. Message and data rates may apply; message frequency varies. Reply STOP to stop or HELP for help. Consent is not a condition of any purchase.

8. Acceptable use

You may not use the Platform to:

  • sell or advertise anything illegal, adult or sexual services, weapons, drugs, or other products or services prohibited by law or by card network rules;
  • mislead, defraud, harass or spam anyone, or post false, infringing or harmful content;
  • access accounts or data that are not yours, probe or break our security, scrape the Platform, or interfere with its operation;
  • copy, resell or reverse engineer the Platform except as the law allows.

We may remove content, decline or remove listings, and suspend or close accounts that break these Terms or put people at risk.

9. Your content and our platform

You keep ownership of the content you add. You give Shopfin a worldwide, non-exclusive, royalty-free license to host, display, adapt and use it to operate and promote the Platform (for example showing your listing and reviews in the directory). Shopfin owns the Platform, its software, design and brand.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, AND WE MAKE NO PROMISE ABOUT ANY BUSINESS, PRODUCT, SERVICE OR REVIEW ON IT.

11. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, SHOPFIN AND ITS OFFICERS, EMPLOYEES AND PARTNERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY TRANSACTION, PRODUCT, SERVICE, PAYMENT, SHIPMENT OR CONDUCT OF A BUSINESS OR SHOPPER. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE FEES YOU PAID SHOPFIN IN THE 12 MONTHS BEFORE THE CLAIM OR $100.

12. Indemnity

You agree to defend and indemnify Shopfin against claims, losses and costs (including reasonable attorneys' fees) arising from your use of the Platform, your content, your products or services, your transactions, or your breach of these Terms or the law.

13. Ending your use

You may stop using the Platform at any time. We may suspend or end access if you break these Terms, if required by law or a payment partner, or to protect people or the Platform. Sections that by their nature should survive (such as 2, 9 to 12 and 14) do.

14. Disputes and governing law

These Terms are governed by the laws of [state], without regard to its conflict of law rules. 15. Changes

We may change these Terms. We will post the new version here with its date and, for significant changes, tell account holders. Continuing to use the Platform after a change means you accept it.
